Confidentiality agreement

What this is

When you use the Yoru platform, you'll come across information that belongs to us or to other businesses on the platform — things like financial data, pricing, and commercial terms. This agreement asks you to keep that information confidential.

It's not a signed contract — it's a condition of access. By ticking the box on the platform, you're accepting these terms. You can view this agreement at any time via the link in your account.

What counts as confidential

Confidential information is anything you see or receive through the platform that isn't already publicly available. This includes:

• Business and financial information
• Pricing, terms, and deal structures
• Customer and supplier details
• Any other information marked as confidential or that clearly ought to be treated as such

What we're asking you to do

Keep it to yourself. Don't share, copy, or use confidential information for any purpose other than your dealings with Yoru.

If you need to share information with a colleague or adviser, make sure they understand it's confidential too — you're responsible for them.

What you don't need to worry about

These rules don't apply to information that:

• Is or becomes publicly available (not through any fault of yours)
• You already had before accessing the platform
• You receive independently from a third party, with no confidentiality strings attached
• You're legally required to disclose — though if that happens, please let us know as soon as you can

How long this lasts

These obligations run for two years from the date you accept them, or two years after your last use of the platform — whichever is later.

The legal bit

This agreement is governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.

Accepting these terms doesn't create a partnership, employment, or agency relationship between you and Yoru.
